Who these terms are between
These terms govern the use of VTag One, provided by VTag Labs GmbH, Stixchesstr. 107, 51377 Leverkusen, Germany ("we"), to the organization that signs up for or is invited to VTag One and to its members ("you"). VTag One is offered to businesses and organizations, not to consumers. If you use VTag One for an organization, you confirm that you are allowed to act for it.
The service
VTag One is an assistant for organizations. It answers questions from the documents, connected sources and meeting notes that you and your organization provide, cites its sources, and prepares actions such as drafts for a person to approve. VTag One is currently offered in a closed beta to invited organizations. Features can change, be added or be removed, and some features are not enabled for every organization.
Accounts and organizations
You need an account to use VTag One. Keep your sign-in details secret and tell us promptly if you suspect misuse. Administrators of an organization decide who is invited, which roles members have, and which sources are connected. You are responsible for the actions taken under your account.
Acceptable use
You may not use VTag One unlawfully, to harm others, to send unsolicited bulk messages, to probe or disrupt the service or other organizations' data, to circumvent its permissions or limits, or to upload content that you have no right to use. We may suspend access to stop a serious misuse.
Your content and your data
You and your organization keep all rights in the content you put into VTag One. You give us the right to process it only as needed to provide the service. Personal data is handled as described in the Privacy Policy. Where we process personal data on behalf of an organization, the parties conclude a data processing agreement under Article 28 GDPR.
Connected services and meetings
If you connect a service such as Google, the terms of that service also apply to you, and you can revoke the connection at any time. Where the meeting notetaker joins a meeting, the organization that sends it is responsible for informing the participants and for having a legal basis for documenting the meeting, including any consent that the law of the participants' countries requires.
Artificial intelligence and human approval
Answers of the assistant are generated by a language model and can be incomplete or wrong. Check important results against the cited sources. The assistant is designed not to send anything outside your organization on its own: a person approves each outward action and is responsible for what they approve.
Availability and support
We aim to keep VTag One available, but we do not promise uninterrupted operation. We may carry out maintenance and changes. During the closed beta, support is provided on a reasonable-effort basis.
Intellectual property
VTag One, its software, design and documentation belong to us or our licensors. We grant you a non-exclusive, non-transferable right to use VTag One for your organization's internal purposes for as long as you are entitled to use it. Feedback you give us may be used by us without restriction.
Liability
We are liable without limit for intent, gross negligence, injury to life, body or health, and where mandatory law requires. For a slightly negligent breach of an essential contractual obligation, our liability is limited to the damage that is typical and foreseeable for this kind of contract. Otherwise our liability for slight negligence is excluded. Liability under the Product Liability Act is not affected.
Term and ending
You can stop using VTag One at any time, and an organization can close itself. We may end access with reasonable notice, or immediately for a serious breach. When an organization is closed, its data is handled as described in the Privacy Policy.
Commercial terms
Any fees, plans or service levels are agreed separately in writing. Nothing on this page creates a payment obligation.
Changes, law and contact
We may change these terms for good reasons, for example a change in the service or the law, and will tell the members of an organization in the application before the change applies. If you do not agree, you can stop using VTag One. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods; mandatory consumer or other protective rules of your country remain unaffected. For businesses, the place of jurisdiction is the registered seat of VTag Labs GmbH. Contact: contact@vtaglabs.com.
